Welcome to Tax2Cargo, a software-as-a-service (SaaS) platform operated by mytax4cargo OÜ (the "Company", "we", "us", or "our"). Tax2Cargo is a specialized customs declaration pipeline accessible via www.tax2cargo.com and related subdomains (the "Website") and software application interfaces (the "Service").
By registering for, creating an account on, or using the Service, you ("User" or "Customer") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must immediately cease using the Service.
1. About Us & Legal Entity Status
The Service is owned, developed, and maintained exclusively by mytax4cargo OÜ, a private limited company organized and existing under the laws of the Republic of Estonia.

2. Legal Capacity & Non-Agency Disclaimer (HMRC CDS Connection)
Tax2Cargo provides online software utilities designed to format, process, and transmit data structure layouts for traders, importers, and exporters.
- No Customs Representation: mytax4cargo OÜ acts strictly and solely as a technology infrastructure and Software-as-a-Service (SaaS) provider. The Company does not act as a customs broker, customs agent, filing agent, or customs representative.
- No Power of Attorney: We do not operate under a power of attorney, nor do we establish customs representation agreements with you.
- Direct Authentication (OAuth): Technical connection to HMRC's Customs Declaration Service (CDS) or Entry Summary Declarations (ENS) is executed exclusively via HMRC's standard OAuth authorization framework. The User must authenticate directly using their own UK Government Gateway credentials. The software communicates with HMRC CDS using the User's own preexisting permissions, numbers, and enrollments. The User remains the sole legal Declarant and Importer/Exporter of Record for all statutory purposes.
3. User Responsibilities & Data Control
The User retains absolute ownership and legal liability for all data uploaded, parsed, or finalized through the Platform.
- Review and Approval Mandate: The User must manually review, verify, and approve the complete structural and contextual correctness of all declaration data elements—including commodity valuations, country of origin codes, and Harmonized System (HS) commodity codes—before initiating a transmission to HMRC.
- Data Audit Exclusion: The Company does not check, verify, or correct declaration information. The Service is a data processing delivery tool, not a verification service.
- Account Credentials: You are strictly responsible for maintaining the privacy and security of your Tax2Cargo login keys, API tokens, and Government Gateway access profiles.
4. Use of Artificial Intelligence & Smart Form Completion
The Platform incorporates automated assistive features, pattern matching, and Artificial Intelligence (AI) to optimize form filling by suggesting potential tariff codes or field variables.
- No Professional Advice: AI-generated field completions or lookup choices do not constitute tax, customs, financial, or legal advice. The Company does not advise on the legality, restrictions, or economic feasibility of importing or exporting specific inventory.
- Verification Obligation: You explicitly recognize that automated AI suggestions can be inaccurate or out of date. The User is legally required to verify all Platform suggestions against the current, official UK Trade Tariff before committing to a live HMRC submission.
5. Subscriptions, Payments, and Merchant of Record (Paddle)
All subscription plans and access rights to Tax2Cargo are sold on a subscription basis, billed monthly.
- Merchant of Record: Paddle (Paddle.com Market Limited or its affiliates) is our authorized Merchant of Record for all transactions. When purchasing a subscription, your payment will be processed by Paddle, and the transaction will be governed by Paddle's Buyer Terms and Conditions and Privacy Policy.
- Automatic Renewal: Subscription fees are billed in advance and will automatically renew at the end of each billing period unless you cancel the renewal from your account dashboard before the next cycle begins.
- Exclusion of Taxes: All displayed SaaS pricing tiers are exclusive of VAT and local digital taxes unless explicitly stated otherwise during checkout. We reserve the right to adjust fees upon giving at least thirty (30) days' notice.
6. Cancellation and Refund Policy
Because billing infrastructure is managed by our Merchant of Record, all payments and refunds are bound to Paddle's operational criteria.
- 14-Day Statutory Window: Customers qualify to request a full refund within fourteen (14) days of their initial purchase, in alignment with Paddle's Buyer Terms and Conditions.
- Execution: Refund claims must be submitted directly through Paddle by utilizing the links provided in your transactional receipt email.
- Usage Constraints: Refunds apply strictly to the most recent billing iteration and may be denied if the account history shows that live HMRC declarations have been actively submitted during that billable cycle. Outside of this 14-day statutory frame, all payments are completely non-refundable.
7. Prohibited Uses of the Platform
You agree to use the Service in absolute compliance with HMRC customs regulations and applicable data protection frameworks. You must not:
- Use the Service to transmit purposefully undervalued invoices, misdeclared commodity values, or otherwise engage in systemic tax evasion or trade fraud.
- Reverse-engineer, decompile, crawl, or scrape any structural component, API route, or codebase of the Platform.
- Misrepresent your identity, utilize another entity's EORI number without authorization, or access the Service using stolen Government Gateway profiles.
- Attempt to bypass or manipulate automated verification controls built into our pricing tiers to declare higher cargo values than authorized by your subscription tier.
8. System Testing & The Sandbox Boundary
The Company may provide access to developer sandbox networks or HMRC trade test environments. You acknowledge that successful simulation inside a testing sandbox does not guarantee successful declaration execution in the live HMRC CDS production system. The Company is not responsible for bugs, data collisions, or interface dropouts that only manifest upon shifting from sandbox to live production configurations.
9. System Availability & Force Majeure (Port Delays)
While we target high technical uptime, we provide the platform strictly on an "as is" and "as available" basis.
- Maintenance Windows: We retain the right to run maintenance routines, database upgrades, and API schema revisions that may cause brief service interruptions.
- External Outages: mytax4cargo OÜ is completely exempt from liability for customs entry delays, port gridlock, logistics cargo holds, carrier storage fees, demurrage costs, or spoiled merchandise resulting from platform downtime, HMRC CDS gateway crashes, internet backbone failures, or unannounced updates to government API schemas.
10. Strict Limitation of Liability
To the maximum limits tolerated under applicable commercial laws:
- Exclusion of Consequential Loss: mytax4cargo OÜ shall never be held liable to you or any third parties for any indirect, circumstantial, special, exemplary, or consequential financial injuries. This encompasses lost business profits, broken commercial contracts, factory downtime, or administrative penalties issued to you by HMRC or customs authorities.
- Agreed Liability Cap: The overall aggregated financial liability of mytax4cargo OÜ arising from contract, tort (including active or passive negligence), or statutory breach shall be strictly limited to the total cash fees paid by you to our Merchant of Record (Paddle) for your software subscription during the three (3) months directly preceding the event that triggered the legal claim.
11. Contractual Indemnification
You agree to fully defend, indemnify, and hold harmless mytax4cargo OÜ, its corporate officers, technical operators, and downstream infrastructure partners from and against any third-party lawsuits, legal damages, customs reassessments, back-taxes, or legal expenses caused by:
- Your input of inaccurate, fraudulent, or illegal values or codes into the Platform.
- Your immediate execution of AI-form autocomplete recommendations without manual verification against the UK Trade Tariff.
- Any breach of security or credential leaking occurring within your private enterprise account.
12. Electronic Audit Trails as Legal Evidence
You acknowledge and agree that our software tracking systems record all click-wrap approvals, submission validation timestamps, user IDs, and data payloads. In the event of a commercial dispute, insurance review, or legal litigation, these immutable electronic audit logs shall be fully admissible as definitive, binding evidence of human-in-the-loop review and transactional validation.
13. Termination of Service
You can terminate your subscription renewal at any single point via your account settings. Access will persist until the end of your currently paid billable period.
We reserve the right to immediately terminate or lock your account tokens without warning if we suspect your account is being used to facilitate unlawful trade, smuggling patterns, API schema injections, or any material violation of Section 7 of these Terms.
14. Governing Jurisdiction and Applicable Law
These Terms, along with all operational and non-contractual interactions with the Platform, are governed exclusively by the laws of the Republic of Estonia. Any legal conflicts, contract enforcement proceedings, or disputes arising out of these Terms shall be handled exclusively within the Harju County Court (Harju Maakohus) in Tallinn, Estonia.
